“Services” refer to all offerings provided by Dhi Nutri, including but not limited to: personalized nutrition and wellness plans (“Personalized Plans”), one-on-one coaching/consultation sessions (online or offline), group programs (e.g., Metabolic Reset, PCOS & Hormone Balance), corporate wellness programs, certification programs, workshops, webinars, freemium and premium quizzes and assessments, and any related communication (email, WhatsApp, etc.).
“Products” refer to both digital goods (e-books, cookbooks, meal plans, guides, downloadable reports, mobile applications) and physical goods (supplements, plant protein blends, quarterly wellness boxes) sold on the Website.
“Subscription” refers to a recurring payment plan for access to ongoing Services or Products, such as meal planning application access, wellness box deliveries, or membership sites.
“Content” refers to all text, graphics, images, audio, video, software, and other materials published on the Website or provided as part of the Services and Products.
“Free Tools” refer to interactive features on the Website such as calculators, quizzes, trackers, and guides that do not require payment.

• Certification Programs: Educational courses for health coaches and wellness enthusiasts, including self-paced courses and mentorship programs.
• Digital Products: E-books, digital cookbooks, meal plans, and premium personalized reports available for immediate download.
• Physical Products: Wellness supplements and curated wellness boxes available for purchase and shipment.
• Free Tools & Content: Informational blog articles, calculators, quizzes, and other resources available on the Website.
• Subscriptions: Recurring access to services such as meal planning applications and quarterly product deliveries.

User Account and Registration
To access certain Services (e.g., coaching portals, certification modules), you must create an account. You are responsible for:

• Providing accurate, current, and complete information during registration.
• Maintaining the confidentiality of your account login information.
• All activities that occur under your account.
• Notifying us immediately of any unauthorized use of your account.

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

Purchases, Payment, and Refund Policy
Fees: You agree to pay all fees as described at the time of purchase. All fees are listed in the currency selected (INR or USD) and are exclusive of applicable taxes (e.g., GST in India), which will be added at checkout.
Subscription Billing: For Services or Products offered on a subscription basis:

• Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle (monthly, quarterly, annually) unless you cancel it before the renewal date.
• Cancellation: You may cancel your subscription at any time through your account settings. Cancellation will stop future renewals but will not result in a refund for the current billing period.
• Price Changes: We reserve the right to change subscription fees. We will provide you with at least 30 days’ notice of any price changes. Your continued use of the service after the price change becomes effective constitutes your agreement to pay the new amount.
  Service & Digital Product Refund Policy: Due to the digital, custom, and immediately accessible nature of our Services (1-on-1 Coaching, Group Programs, Certification Programs) and Digital Products (e-books, courses, premium reports, meal plan app subscriptions), all sales are final. No refunds or cancellations are permitted once the product has been accessed, the service has been rendered, or the subscription period has commenced.
  Physical Product Refund/Return Policy: Physical products (e.g., supplements, wellness boxes) may be returned for a refund or exchange only if they arrive damaged, defective, or incorrect. You must contact us within [e.g., 7] days of receipt. Return shipping costs are the responsibility of the customer unless the error was due to our fault. For hygiene and safety reasons, opened or used supplements are not returnable.
  Chargeback Disputes: Initiating an unauthorized chargeback or payment dispute may result in the immediate termination of your access and services. We reserve the right to challenge such disputes with all relevant evidence.

They are NOT intended to diagnose, treat, cure, or prevent any disease or medical condition. They are NOT a substitute for professional medical advice, diagnosis, or treatment from a qualified healthcare provider.
• Theoretical Frameworks: Any references to nutritional genetics, Ayurvedic principles, doshas, or other holistic frameworks are presented as theoretical models for educational and cultural context. They are not medical claims. Individual responses and results will vary.
• Consult Healthcare Professionals: You, the Client, acknowledge and agree that you must seek guidance from qualified professionals before starting any program, including:
  • Licensed physicians for any health conditions.
  • Registered dietitians or nutritionists for personalized dietary changes.
  • Clinical pharmacists to check for any herb-drug or supplement-drug interactions.
• Research and Citations: Where scientific studies, Ayurvedic texts, or other research is referenced, it is for educational purposes only. All primary research is properly cited to its original authors. Our integration of these frameworks reflects our interpretation of existing knowledge and is independently derived.
• Accuracy of Information: The effectiveness of a Personalized Plan is contingent upon the accuracy and completeness of the health, dietary, and lifestyle information you provide. You agree to provide truthful and complete information.
• Supplements Disclaimer: Statements regarding supplements have not been evaluated by the Food Safety and Standards Authority of India (FSSAI) or the Food and Drug Administration (FDA). Our products are not intended to diagnose, treat, cure, or prevent any disease.
• Liability Waiver: To the fullest extent permitted by law, Dhi Nutri shall not be liable for any adverse effects, health issues, dissatisfaction, or damages arising from your use of our Services, Products, or information, or from applying the ideas presented without appropriate professional supervision.

Your health journey is yours alone. We encourage you to adapt any ideas found on our platform in consultation with professionals, honouring your unique body, local ingredients, and cultural traditions.

Use of Free Tools, Quizzes, and Client Data

• Freemium Quiz & Report: By using our Free Tools (e.g., the introductory Dosha quiz), you acknowledge that the output is for informational and educational purposes only. The “Premium Report” or any paid output is an enhanced digital product subject to our Digital Product Refund Policy.
• Anonymous Data: We may collect and use the anonymized, aggregated data from all quiz and tool usage for purposes such as improving our services, conducting research, and developing new content. This data cannot be used to identify you personally.
• Personal Data: Any personal data you provide (e.g., through account registration, purchase, or contact forms) is governed by our Privacy Policy. We are committed to protecting your privacy and will not sell your personal data to third parties.
• Certification Program Data: For certification programs, we may use your success stories and feedback for promotional purposes only with your explicit written consent.

Marketing and Brand Materials for Corporate Clients
This section applies specifically to all organizational, corporate, or institutional clients (“Corporate Clients”).

• License Grant for Logos and Names: Upon commencement of services, the Corporate Client hereby grants Dhi Nutri a limited, non-exclusive, non-transferable, royalty-free license to use the Corporate Client’s trade names, service marks, and logos (“Brand Assets”) for the sole purpose of identifying the Corporate Client as a recipient of Dhi Nutri’s services on Dhi Nutri’s website, social media channels, marketing materials, and pitch decks (the “Permitted Use”).
• Manner of Use: Dhi Nutri agrees to use the Brand Assets in a professional and dignified manner consistent with the quality standards the Corporate Client generally uses and not to alter, distort, or modify them without prior written consent, except for minor technical adjustments to fit format and size.
• No Endorsement: The Permitted Use is not intended to, and does not, constitute an endorsement of Dhi Nutri’s services by the Corporate Client. Neither party shall imply a partnership, strategic alliance, or endorsement without the other party’s prior written consent.
• Revocation of Permission: The Corporate Client may revoke this license at any time for any reason by providing written notice to Dhi Nutri. Upon receipt of such notice, Dhi Nutri will have thirty (30) days to cease all use of the Brand Assets and remove them from all live marketing channels.
• Representation and Warranty: The Corporate Client represents and warrants that it is the owner of, or has the full right and authority to grant the license for, the Brand Assets, and that such grant does not infringe upon the rights of any third party.
• Corporate Client Onboarding Acceptance: By checking the box labeled “I agree to the Terms and Conditions, including the Marketing and Brand Materials clause” during the onboarding or sign-up process for our services, the authorized representative of the Corporate Client acknowledges they have read, understood, and agreed to the terms of this license grant.

Intellectual Property & Licensing

• Our Content: All Content on the Website and provided as part of the Services and Products is the exclusive property of Dhi Nutri and is protected by Indian and international copyright and intellectual property laws.
• License for Personal Use: Upon purchase, you are granted a limited, non-exclusive, non-transferable, revocable license to use the Content for your personal, non-commercial use only.
• Restrictions on Use: You agree not to copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any Content for any other purpose without our prior written consent. This includes sharing Personalized Plans, distributing digital products, or replicating certification program materials.
• Certification Program License: Successful completion of a certification program grants you a personal certificate and a limited, non-exclusive, revocable license to use the Dhi Nutri methodology and branding in your own practice, strictly in accordance with the terms of the certification agreement. This license is not transferable and does not grant you the rights to resell, teach, or distribute our copyrighted program materials to other practitioners. White-labeling or rebranding of our quizzes or methodologies for your own commercial use is strictly prohibited unless a separate, explicit white-label partnership agreement is in place.

Shipping and Delivery (Physical Products)

• Regions: We ship physical products to the regions listed on our Website at the time of purchase.
• Wellness Box Subscriptions: Wellness boxes are shipped quarterly. You are responsible for ensuring your shipping address is up to date before each shipment. We are not liable for boxes lost due to an incorrect address.
• Delivery Times: Estimated delivery times are provided at checkout. These are estimates and not guarantees. We are not liable for delays caused by shipping carriers or customs.
• Import Duties/Taxes: For international orders, the customer is solely responsible for paying any applicable import duties, taxes, and customs clearance fees.

Modifications to Terms
We reserve the right to modify or replace these Terms at any time. We will provide notice of changes by posting the new Terms on this page and updating the “Last Updated” date. Your continued use of our services after any change constitutes your acceptance of the new Terms.

Governing Law and Dispute Resolution

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The courts in Pune, Maharashtra, India shall have exclusive jurisdiction.
• Dispute Resolution: Any dispute shall first be resolved through good-faith negotiations. If unresolved within thirty (30) days, it shall be referred to binding arbitration in Pune, Maharashtra, under The Arbitration and Conciliation Act, 1996, by a single arbitrator appointed mutually.
